STANDARD TERMS AND CONDITIONS OF SALE
1. Purpose and Scope
These General Terms and Conditions of Sale (GTCS) define the terms governing the services provided by SONARIX, a Swiss company specializing in sonic creation (sonic identity, audio logo, musical branding, custom composition, etc.), and regulate the contractual relationship between SONARIX (hereinafter the “Provider”) and any client engaging its services (hereinafter the “Client”).
These GTCS apply to all one-time service orders carried out by SONARIX, excluding any subscription-based or recurring service arrangements.
They apply to all SONARIX clients, whether established in Switzerland or abroad, unless otherwise agreed in writing.
By placing an order, the Client fully and unreservedly accepts these terms.
These GTCS form an integral part of each quotation issued by SONARIX and any contract concluded with the Client. The signature of a quotation or any written approval by the Client constitutes express acceptance of these GTCS, which shall prevail over any conflicting Client document.
By validating the quotation, the Client acknowledges having read and accepted these GTCS in their entirety.
2. Quotations, Orders and Formation of Contract
All services provided by SONARIX are subject to a detailed quotation submitted to the Client beforehand.
Unless otherwise stated, quotations remain valid for 30 days from the date of issue.
The service contract is formed upon SONARIX’s receipt of the signed quotation from the Client, confirming acceptance of the offer and these GTCS.
No work will commence until the quotation is approved and the payment conditions defined herein have been fulfilled (deposit payment, provision of required materials, etc.).
SONARIX reserves the right to refuse any order outside its field of expertise or contrary to applicable laws. In such cases, any amounts paid will be refunded without additional compensation.
The accepted quotation (dated and signed) and these GTCS constitute the binding agreement between the parties.
By signing the quotation, the Client acknowledges that any subsequent cancellation may trigger the cancellation provisions outlined in Article 7.
The Client agrees to provide SONARIX with all necessary information and materials required for the proper execution of the project. Any modification to the initial brief after acceptance must be agreed upon in writing and may result in adjustments to price and/or timeline.
3. Services
SONARIX provides creative services in sound design, including sonic identities, audio logos, musical branding, and custom compositions for various media (audiovisual, events, retail environments, etc.).
Services are delivered as individualized projects defined in the corresponding quotation.
SONARIX undertakes to perform services in accordance with professional standards and agreed specifications.
Unless otherwise specified, deliverables consist of professional audio files (e.g., high-quality WAV or AIFF) suitable for the agreed use.
SONARIX is bound by an obligation of means, not results. It will deploy all reasonable expertise and technical resources to deliver a high-quality creation aligned with professional standards and client expectations.
The Client acknowledges that creativity is inherently subjective and requires active collaboration and clear feedback. The Client agrees to provide a precise brief and timely approvals throughout the project.
Any delays in providing materials or approvals may affect delivery timelines without liability for SONARIX.
4. Pricing, VAT and Payment Terms
All prices are indicated in Swiss francs (CHF).
As SONARIX operates as a sole proprietorship not subject to VAT, prices are net and VAT is not applicable pursuant to Article 10 paragraph 2 letter a of the Swiss VAT Act.
Any additional costs (travel, accommodation, licenses, specific equipment) will be included in the quotation or billed separately with Client approval.
Unless otherwise specified, prices remain fixed during the quotation validity period and exclude any customs duties or foreign taxes.
Payment Terms
A two-stage payment schedule applies:
• 50% deposit upon acceptance of the quotation
• 50% balance upon delivery of final creations
Work begins only upon receipt of the deposit.
The final invoice is issued upon delivery and is payable immediately unless otherwise agreed in writing.
Payments are made by bank transfer or other agreed method and must be made in CHF unless otherwise agreed.
Failure to pay the deposit renders the contract null and void.
Late Payment
Late payments automatically place the Client in default.
A statutory interest rate of 5% per year applies to overdue amounts under Swiss law.
Reasonable reminder and recovery costs may be charged.
SONARIX reserves the right to suspend services or refuse new work until outstanding balances are paid.
5. Project Process, Delivery and Revisions
Deadlines
Delivery timelines are indicative unless expressly guaranteed.
Minor delays do not justify cancellation or compensation.
Timelines begin once SONARIX receives all required materials and approvals.
Client delays automatically extend deadlines.
In cases of force majeure (see Article 10), SONARIX will inform the Client and agree on revised timelines.
Delivery
Final deliverables are provided electronically (secure download, email, or agreed method).
Unless specified, deliverables include final mastered audio ready for use.
Source files (DAW sessions, stems, samples) are not included unless explicitly agreed.
Requests for source files require a separate agreement and additional fees.
The Client must review deliverables within 15 calendar days. After this period, the deliverables are deemed accepted.
Included Revisions
Each project includes up to three (3) rounds of minor revisions.
Major changes or revisions beyond this limit will be billed additionally.
If additional revisions are requested, SONARIX will provide a supplementary quotation.
Each project phase requires Client approval. Once approved, reverting to previous stages may incur additional fees.
6. Intellectual Property & Copyright
Ownership Retention
Until full payment is received, all creations remain the exclusive property of SONARIX.
The Client may not use the work until full payment is completed.
Copyright Transfer
Upon full payment, SONARIX transfers exclusive economic rights to the Client worldwide for the full legal copyright duration.
This includes rights to reproduce, distribute, modify, and use the creation across all media.
Uses beyond the original scope may require additional licensing.
Moral Rights
Moral rights remain with SONARIX.
The Client agrees not to alter the work in a way that harms the author’s reputation.
Promotion & Portfolio Rights
SONARIX may reference completed work for promotional purposes (portfolio, website, social media).
If confidentiality is required, the Client must request it in writing.
Warranties
SONARIX guarantees originality and lawful use of all provided materials.
The Client guarantees rights to any materials supplied and indemnifies SONARIX against third-party claims.
7. Cancellation & Early Termination
If the Client cancels after approval:
• the deposit remains non-refundable
• additional work completed may be invoiced
If SONARIX cancels without Client fault, payments exceeding completed work will be refunded.
8. Limitation of Liability
SONARIX liability is limited to direct damages and capped at the amount paid.
Indirect damages (loss of revenue, brand damage, etc.) are excluded.
9. Confidentiality & Data Protection
Both parties agree to maintain confidentiality.
Personal data is processed in compliance with Swiss data protection law.
10. Force Majeure
Neither party is liable for failure due to force majeure events beyond their control.
If force majeure persists beyond 60 days, either party may terminate the contract.
11. Governing Law & Jurisdiction
These GTCS are governed exclusively by Swiss law.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Valais, Switzerland.
The legal venue is Sion.
12. Final Provisions
If any clause is invalid, the remaining provisions remain in effect.
These GTCS constitute the entire agreement.
SONARIX may update these terms for future contracts.
By signing the quotation, the Client acknowledges acceptance of these GTCS.
